These terms form the agreement between you and Carvidmarine LLC ("Carvid Marine", "we", "us"), a Wyoming limited liability company, registration number 2024-001544115. They apply to every service you order from carvidmarine.com. By placing an order you accept them.
1. Your account
You must be at least 18 and able to enter a contract. Account information must be accurate and kept up to date, especially your name, billing address and email address. We may ask for identity verification before we deliver a service. If you don't provide it, we may cancel the order and refund it.
You're responsible for everything done under your account and for keeping your credentials secret.
2. Services
The services, specifications and prices are those on our pricing page at the time you order, or in a written quote from [email protected]. A quote is valid for 14 days. When we deliver a service is set out in our service delivery policy.
3. Billing and payment
- Services are billed monthly in advance, in US dollars. The first invoice is due before delivery.
- Invoices are emailed on each billing date and are due that day.
- If an invoice is unpaid 7 days after its due date, we may suspend the service. If it's unpaid after 30 days, we may terminate the service and delete its data.
- Usage charges such as traffic overage, transit above commit and remote hands are billed in arrears on the next invoice.
- Prices exclude taxes. Where tax applies, it's shown as a separate line.
- We give at least 30 days' email notice before any price increase on an existing service.
4. Acceptable use
You must use the services in line with our Acceptable Use Policy and the laws that apply to you, to us, and in the country where each service runs. You're responsible for the actions of your own users and customers.
5. Suspension
We may suspend a service without notice if it's being used for an active attack, is causing harm to our network or others, or if the law requires it. In other cases we'll contact you first and give you a reasonable time to fix the problem. Suspension doesn't stop billing.
6. Your data and backups
You own the data you store on our services. We don't access it except to provide support you've asked for, to investigate abuse, or when the law requires it. You're responsible for your own backups. We don't back up customer data.
7. Service levels
Availability targets and the credits you get when we miss them are in our Service Level Agreement. SLA credits are your only remedy for downtime or service degradation.
8. Cancellation and refunds
You can cancel at any time. Our Refund & Cancellation Policy explains when money is returned.
9. Limitation of liability
To the extent the law allows, our total liability for any claim under these terms is limited to the fees you paid us for the affected service in the 3 months before the claim arose. We're not liable for lost profits, lost revenue, lost data or indirect or consequential loss. Nothing in these terms limits liability that can't be limited by law.
10. Termination
You may end a service by email before its next billing date. We give you at least 30 days' email notice before ending a service, except for non-payment or breach. We may terminate immediately for serious or repeated breaches of these terms or the AUP. After termination, data on the service is deleted within 7 days and can't be recovered.
11. Changes to these terms
We may update these terms. Material changes are emailed to account holders at least 30 days before they take effect. If you don't agree, you can cancel before the change applies.
12. Governing law
These terms are governed by the laws of the State of Wyoming, USA. The courts of Wyoming have jurisdiction over any dispute, unless the consumer law of your home country gives you the right to bring a claim there.
13. General terms
- Indemnity: you'll cover our reasonable costs from third-party claims caused by your use of the services in breach of these terms or the AUP.
- Force majeure: neither side is liable for delays caused by events outside its reasonable control, such as utility or upstream failures, natural disasters or government action.
- Chargebacks: please contact [email protected] before disputing a charge. We may suspend services while a chargeback is open, as described in our Refund & Cancellation Policy.
- Assignment: you may not transfer your account without our written consent. We may transfer these terms to a successor business and will tell you by email.
- Warranties: services are provided as described on our pricing page and in these terms and policies. To the extent the law allows, we give no other warranties.
- Severability and entire agreement: if a clause is found unenforceable, the rest still applies. These terms, with the policies they link to, are the whole agreement between us.
